1. Definitions
Cleaniro / we / us: Muema BV, trading as Cleaniro, with its registered office at Paradijsweg 8 bus B2, 2500 Lier, Belgium, enterprise number 1041.599.757, VAT BE 1041.599.757.
Customer / you: the natural or legal person subscribing to the Services.
Services: the Cleaniro SaaS platform for operations management of cleaning companies, including all modules, features and updates.

End Users: the employees, cleaners and other persons using the Services on behalf of the Customer.
Agreement: these Terms of Service together with the subscription chosen by the Customer.
2. Acceptance
These terms apply to all use of Cleaniro. By creating an account or taking out a subscription, you accept these terms. Conflicting terms of the Customer are expressly excluded, unless otherwise agreed in writing.
3. Services
We make the Cleaniro platform available to Customer in accordance with the chosen plan (Start, Pro or Custom) as described in the pricing section of our website.
We aim for continuous availability and improvement, but do not guarantee uninterrupted operation, except where an SLA has been expressly agreed in writing.
4. Account and use
Customer is responsible for:
- Accuracy of the information provided
- Confidentiality of login credentials
- Actions of End Users within the Account
- Compliance with applicable law when using the Services
Customer may not use the Services to:
- Violate legal or contractual obligations
- Cause harm to other users or third parties
- Circumvent or test Cleaniro’s infrastructure or security without authorization
- Reverse-engineer, copy or resell the Services
5. Trial period
New accounts get a free trial of 14 days by default on the chosen plan (except Custom). No payment method or credit card is required to start a trial. No charges are made during the trial period. Cancelling before the end of the trial prevents automatic billing. If Customer has not added a payment method by the end of the trial, the account is paused (not deleted). Customer can add a payment method later to continue.
6. Pricing and payment
Prices are shown in the pricing section of our website and exclude VAT. For Custom, the prices agreed in writing apply.
Monthly billing: in advance, per calendar month. Payment via SEPA direct debit or credit card (via Stripe).
Annual billing: in advance, per year, at the annual price shown in the pricing section.
Changes in the number of cleaners are calculated pro rata and settled on the next invoice.
If payment is not made within 14 days of the invoice date, Cleaniro is entitled to suspend access, with statutory late-payment interest and a lump-sum compensation of 10% (minimum €40) in accordance with the Belgian Law of 2 August 2002 on combating late payment in commercial transactions.
7. Price changes
We may adjust prices with 60 days’ prior written notice. For annual subscriptions, new prices only apply at the next renewal. Customer has the right to terminate the subscription without compensation until the effective date of the price change.
8. Term and termination
Monthly subscriptions run per calendar month and renew automatically. Cancellation is possible at any time; it takes effect at the end of the current billing month.
Annual subscriptions run per year and renew automatically. Cancellation at least 30 days before renewal.
Upon termination:
- Access continues until the end of the paid period
- Customer has 30 days of access to a data export
- Data is then deleted within 90 days (subject to legal retention periods)
Cleaniro may terminate the Agreement immediately in the event of serious breaches by the Customer, legal obligations, or non-payment after formal notice.
9. Intellectual property
All rights to the Cleaniro platform, including software, source code, design, documentation and trademarks, remain the exclusive property of Cleaniro. Customer receives a non-exclusive, non-transferable right of use for the duration of the Agreement.
Data entered by the Customer remains the property of the Customer. Cleaniro obtains a limited right to process this data to provide the Services and, in aggregated and anonymized form, for product improvement and benchmarking.
10. Liability
Cleaniro is liable for direct damage caused by proven gross negligence or willful misconduct.
Cleaniro is not liable for:
- Indirect damage (loss of profit, missed opportunities, reputational damage)
- Damage due to force majeure
- Damage due to incorrect input or use by Customer or End Users
- Damage due to failures of third parties (Supabase, Stripe, internet providers)
- Loss of data due to Customer actions (manual deletion, etc.)
Cleaniro’s total liability is in all cases limited to the amount the Customer paid to Cleaniro in the 12 months preceding the event causing the damage.
11. Force majeure
Neither party is liable for delay or non-performance caused by force majeure: natural disasters, war, terrorism, cyberattacks occurring despite reasonable security measures, strikes, government decisions, or failures of essential infrastructure suppliers.
12. Processing of personal data
For the processing of Customer’s personal data, we refer to our Privacy Policy.
For the processing of personal data of End Users (cleaners, managers) for which Customer is the controller, Cleaniro acts as processor. The terms of this processing are set out in the Data Processing Agreement (DPA), which forms an integral part of this Agreement.
13. Confidentiality
Both parties undertake not to disclose confidential information of the other party or use it for purposes other than the performance of the Agreement. This obligation continues for 3 years after termination.
14. Subprocessors
Cleaniro may engage third parties to deliver the Services. A current list is available at cleaniro.com/subprocessors. Customer is informed in advance of changes with a material impact.
15. Changes to these terms
We may amend these terms. Material changes are communicated by email at least 30 days in advance. A Customer who does not agree may terminate before the effective date.
16. Governing law and jurisdiction
This Agreement is governed exclusively by Belgian law.
Disputes are first resolved through consultation. If that fails, only the courts of the Antwerp arrondissement have jurisdiction.
17. Final provisions
If a provision of these terms is declared void or unenforceable, the remainder remains in full force. The parties shall replace the void provision with a valid one that comes as close as possible to the original purpose.
Cleaniro may transfer rights and obligations under this Agreement in the event of an acquisition or merger, subject to prior notice to the Customer.
